本《用户服务条款》（下称「本条款」）是您与 Shynease Global Holdings Limited（香港，下称「我们」）之间，就使用 LaoBiz 老商通（域名含 laobiz.com，下称「本平台」）所订立的协议。请在注册、登录或使用服务前仔细阅读。一旦您注册账号、勾选同意或实际使用本平台，即视为您已阅读并同意本条款。

一、服务内容
本平台提供包括但不限于：
- 老挝公开商业登记、许可、行业、统计、政策及知识产权等信息的检索与展示；
- 用户中心（账号、企业认领、咨询工单等）；
- 商务咨询与代办协办（公司注册、许可、签证与因公停留、财会、数字化等），具体范围、材料、费用与周期以沟通确认并接单后的约定为准。
本平台为独立第三方信息服务与商务服务机构，不代表任何政府部门，所载公开信息不构成政府公文、法律意见或投资建议。
二、账号与注册
- 您应使用真实、有效的邮箱完成注册或社交登录绑定，并妥善保管账号与密码。
- 通过 Google 等第三方登录的，还应遵守该第三方的用户条款；若对方未提供邮箱，您须按提示补全并验证邮箱后方可使用完整功能。
- 您对账号下的操作负责。发现盗用或异常，请立即联系我们。
- 我们有权对违规、虚假注册或存在安全风险的账号采取限制、冻结或注销等措施。
三、用户行为规范
您承诺不得：
- 利用本平台从事违法、欺诈、洗钱、侵犯他人权益或违反进出口与投资管制的活动；
- 提交虚假材料、冒用他人身份，或将本平台用于移民中介、虚假「投资居留」承诺等违规营销；
- 未经授权抓取、批量导出或转售本站数据与账号体系；
- 干扰、攻击本平台系统或规避安全措施；
- 发布违法、侵权或不当内容。
四、信息与数据
公开企业、许可等数据整理自官方公开渠道，可能存在滞后、翻译差异或不完整。办理以主管部门最新规定及官方原件为准。我们可能对展示方式、收录范围进行调整。个人信息处理适用《隐私政策》。
五、代办与咨询服务
- 免费浏览与初步咨询不构成委托关系；正式代办以双方确认的服务范围、报价与材料清单为准。
- 签证、许可、登记等事项由老挝或相关主管部门依法审批；我们提供材料整理、路径解读与合法渠道递交协办。
- 接单前我们将评估可行性；确认接单后按约定推进。因您提供材料不实、不全，或政策变更、主管部门决定等导致延误或结果变化的，按约定与适用法律处理。
- 服务费用、退改规则以书面或系统确认的订单/协议为准。
六、知识产权
本平台的界面、文案、商标、软件与编排受法律保护。政府原始数据权利归相应主管机关。未经许可，不得商业性复制或镜像本站。您提交的内容，您保证拥有合法权利，并授予我们为提供服务所必需的使用许可。
七、免责与责任限制
- 对因网络故障、第三方服务中断、不可抗力导致的暂时不可用不承担保证责任；
- 对公开信息的绝对准确、完整、及时不作保证；
- 在法律允许的最大范围内，我们对间接、附带、惩戒性损失的责任以您就争议服务已实际支付的费用为上限（法律法规另有强制规定的除外）。
八、服务变更与终止
我们可能调整功能或暂停部分服务，并尽量提前公告。您可申请注销账号。我们亦可在您严重违反本条款时终止服务。终止后，我们按《隐私政策》与法律要求处理残留数据。
九、适用法律与争议
您使用本平台时，应同时遵守中国内地、香港特别行政区及老挝人民民主共和国的适用强制性规定。因本条款或服务引起的争议，双方应先友好协商；协商不成的，提交有管辖权的法院或仲裁机构解决（以届时书面约定或法律强制规定为准）。
十、其他
本条款部分条款无效不影响其余条款效力。我们可能更新本条款并在本页公示；重大变更将通过合理方式通知。本条款与《隐私政策》及具体订单约定不一致的，以就该事项更具体的约定为准。

These Terms of Service (the “Terms”) are an agreement between you and Shynease Global Holdings Limited (Hong Kong, “we”, “us” or “our”) regarding use of LaoBiz (including laobiz.com, the “Platform”). Please read them before registering, signing in or using the services. By creating an account, checking consent, or using the Platform, you agree to these Terms.

1. Services
The Platform provides, among other things:
- Search and display of publicly available Lao enterprise registration, licensing, industry, statistics, policy and intellectual-property information;
- A user centre (accounts, company claims, inquiry tickets, etc.);
- Business advisory and agency assistance (company registration, licences, visas and official / business stay matters, accounting, digital projects), with scope, materials, fees and timelines subject to confirmation when an engagement is accepted.
The Platform is an independent information and commercial service provider. We do not represent any government authority. Public information does not constitute official government documents, legal advice or investment advice.
2. Accounts
- You must use a real, valid email to register or complete social sign-in, and keep your credentials secure.
- If you sign in with Google or another provider, you must also follow that provider’s terms. If no email is provided, you must add and verify an email before using full features.
- You are responsible for activity under your account. Contact us immediately if you suspect misuse.
- We may restrict, freeze or close accounts that violate these Terms, use false information or pose security risks.
3. Acceptable use
You agree not to:
- Use the Platform for unlawful, fraudulent, money-laundering or other activities that infringe others’ rights or violate trade / investment controls;
- Submit false materials, impersonate others, or market immigration or fake “investment residence” products through the Platform;
- Scrape, bulk-export or resell Platform data or account systems without authorisation;
- Interfere with or attack the Platform or bypass security controls;
- Post unlawful, infringing or otherwise improper content.
4. Information and data
Public enterprise and licensing data comes from official open sources and may be delayed, incomplete or differ in translation. Filings must follow the latest rules and original official documents. We may adjust how information is displayed or included. Personal information is handled under the Privacy Policy.
5. Advisory and agency services
- Browsing and preliminary inquiry do not create an engagement; formal agency work follows the confirmed scope, quote and materials list.
- Visas, licences and registrations are decided by Lao or other competent authorities; we assist with materials, guidance and filing through lawful channels.
- We assess feasibility before accepting an engagement, then proceed as agreed. Delays or outcomes caused by incomplete / inaccurate materials you provide, policy changes or authority decisions are handled under the agreement and applicable law.
- Fees and change / refund rules follow the written or system-confirmed order or agreement.
6. Intellectual property
Platform UI, copy, marks, software and layout are protected by law. Rights in original government data remain with the relevant authorities. Commercial copying or mirroring of the site without permission is prohibited. For content you submit, you warrant you have the rights and grant us the licence needed to provide the services.
7. Disclaimers and liability
- We do not warrant uninterrupted availability in case of network failure, third-party outages or force majeure;
- We do not warrant that public information is absolutely accurate, complete or up to date;
- To the maximum extent permitted by law, our liability for indirect, incidental or punitive losses is limited to fees you actually paid for the disputed service (unless mandatory law provides otherwise).
8. Changes and termination
We may change features or suspend parts of the service with reasonable notice where practicable. You may request account closure. We may terminate service for serious breaches. After termination we handle remaining data under the Privacy Policy and law.
9. Governing law and disputes
When using the Platform you must also comply with mandatory rules of Mainland China, the Hong Kong SAR and the Lao PDR. Disputes should first be resolved amicably; failing that, by a court or arbitration body with jurisdiction (as agreed in writing or required by law).
10. General
If any provision is invalid, the remainder stays in force. We may update these Terms on this page and give reasonable notice of material changes. If these Terms conflict with the Privacy Policy or a specific order, the more specific terms control for that matter.
