本《支付与服务结算协议》（以下简称“本协议”）是 《用户服务条款》 的专项补充，适用于您通过 LaoBiz.com（以下简称“平台”）就服务商品、企业情报服务及其他收费项目进行下单、付款、退款与结算。下单或完成支付即表示您已阅读并同意本协议。
本协议与服务条款不一致时，就付款、结算、退款及交付条件，以本协议及对应订单记载为准。
一、适用范围
本协议适用于以下场景（含后续以同等方式上架的收费项目）：
- 标准化情报服务：例如企业联系方式核验解锁、高级企业档案（向主管部门调取正式登记材料）等，页面展示起步价或一口价，以美元计价。登录会员每日可免费申请 1 份基础档案（整理自本页公开登记摘要，PDF 发至注册邮箱），该免费档不构成本协议项下的付款义务；
- 顾问协办类服务：公司注册、许可、签证、财会、数字化等，多为“依服务报价”，顾问确认应付金额后再付款；
- 其他服务商品：平台服务中心已上架、支持登录下单的收费项目。
免费浏览公开企业页、提交一般咨询（未形成应付订单）不构成本协议项下的付款义务。
二、订单、价格与应付金额
- 您须登录平台账户下单。订单号（如 SO 开头编号）为双方核对交付与收款的凭证。下单、结算与付款均在 laobiz.com 本站完成，不跳转至第三方网店。
- 商品标价分为：一口价（fixed）、起步价（from）、询价（quote）。币种为 美元（USD）。结账页展示服务名称、数量（件）、单价与应付合计。页面金额未含您所在司法辖区可能另行征收的税费，除非订单另有说明。
- 一口价：下单后请先预付标价全额。未付可取消。到账后开始履约。
- 起步价：页面“美金 $xx 起 / from USD xx”为最低应付 / 预收（防爽约）。下单后请先支付起步金额；未付不到账前，客服不对接，您可取消订单。到账后客服确认项目范围、核对是否调价，或与您沟通。加价须您接受后再补差；拒绝可申请退还已付起步价（人工退）。若实际核验、调档、翻译、加急或主管部门规费超出起步范围，顾问将在履约前书面确认差额。
- 询价：下单后无需立刻预付。顾问沟通需求并写入应付金额后，您再付款；到账后开始办理。未确认金额前，平台无义务开始收费履约。
- 企业情报类当前对外展示口径（如有调整以商品页及订单快照为准）：联系方式解锁起步价约 USD 9.9；高级企业档案（向工贸、税务等主管部门调取正式登记材料）起步价约 USD 29.9，周期与规费可能另计。基础档案为会员每日 1 份免费整理件，与高级档案不是同一档服务。
三、支付方式
- 在线支付由 Airwallex（或平台届时公示的同等持牌支付机构）处理。银行卡等敏感支付数据由支付机构采集与处理，LaoBiz.com 不存储完整卡号、CVV 或支付密码。
- 支付成功以支付机构及平台服务器核验为准（webhook / 查询 PaymentIntent），不以浏览器跳转本身作为唯一依据。跳转回用户中心后可能短暂显示“确认中”。
- 您也可按顾问指引通过对公转账、Wise 等线下方式付款；到账后由平台在订单中标记已收款，效力与在线支付成功相同。
- 您应使用本人或已获授权的支付工具。因盗刷、拒付（chargeback）导致的损失，平台有权暂停履约、追索合理费用并配合支付机构调查。
四、履约、交付与不保证事项（Shipping & delivery）
本站出售信息服务与顾问协办，无实物物流 / 无货运（no physical shipment）。不收取运费。交付通过用户中心订单进度、附件、注册邮箱或其他约定电子渠道完成；电子交付视为已履行，除非订单另有书面约定。
- 到账后才开始对应人工对接与收费履约。一口价、起步价须预付到账后，客服才确认项目并办理。询价须顾问写入应付金额且您付款到账后，才开始收费办理。未付款订单可取消。
- 联系方式解锁：指人工核验公开渠道及合理回访后，回传当时可用的电话 / 邮箱 / 社交账号。这不等于官方登记证明，也不保证一定存在有效号码。经合理核验仍无法取得可用联系方式的，平台将按订单说明办理失败档：全额或扣除已发生成本后退款，或与您协商升级为企业档案等其他档位。
- 基础档案：整理自本站企业页已有公开登记字段，以 PDF 发送至注册邮箱；不保证与主管部门最新正式档案逐字一致，也不能替代官方文件。
- 高级档案：由顾问协助向工贸、税务等主管部门调取正式登记材料。依赖于窗口开放、材料与规费，周期与费用可能超出起步价，须另行确认。
- 涉及政府审批、许可、签证等协办服务：平台提供材料整理、路径说明与合法渠道协助，审批结果由主管机关决定。平台不承诺审批通过，不替代律师或持牌专业意见。
五、退款、取消与数字交付（Refund policy）
本站提供信息服务与顾问协办，无实物物流 / 无货运。交付通过用户中心、邮件或其他约定电子渠道完成。
- 因您提供虚假材料、违法用途、拒不配合核验，或支付机构判定欺诈而取消的，已付费用可不予退还。
- 服务尚未实际开始（未消耗核验/调档工时、未向第三方支付规费）且您在付款后 24 小时内书面取消的，可申请全额退款；已开始的，按已发生合理成本结算后余额退回。
- 起步价预付订单经客服沟通后，若可交付效果或最终价格不符合双方需求，您可选择退款或补齐款项后按确认范围继续；已发生的合理核验成本按上款结算。
- 因平台原因无法按订单主要范围交付的，您可选择改期、改档或退还未履行部分对应价款。
- 退款原路退回支付账户，到账时间取决于发卡行或支付机构，通常数个工作日至更长。退款成功后订单支付状态记为已退款。
- 主管部门规费、第三方窗口费、已发生差旅等代垫费用，除因平台过错外，一般不予退还。
六、发票与税务
如需发票或付款凭证，请在订单留言中注明开票主体与税务信息。税费承担以订单约定及适用法律为准。香港以外地区用户自行处理当地申报义务。
七、个人信息
为完成收款与反欺诈，平台及支付机构将处理订单号、金额、联系方式及支付机构回传的交易状态。详见 《隐私政策》。
八、协议更新
本协议在本页公布，并标注生效日期。对已成立且已付款的订单，除法律另有要求或双方另行同意外，适用下单当时的协议版本。
九、适用法律
本协议以及您通过 LaoBiz.com 订立的订单与付款，受中华人民共和国香港特别行政区法律管辖，争议解决方式与 《用户服务条款》 一致：先协商，不成则提交香港有管辖权的法院。强制性消费者权益规定优先适用。

These Payment and Settlement Terms (the “Terms”) supplement the Terms of Service and apply when you place, pay for, refund or settle paid items on LaoBiz.com (the “Platform”). By placing an order or completing payment you confirm that you have read and agree to these Terms.
If these Terms conflict with the general Terms of Service, these Terms and the relevant order govern payment, settlement, refunds and delivery conditions.
1. Scope
These Terms cover:
- Standard intelligence services such as verified contact unlock and official company files (government-registry pulls), priced in US dollars with a fixed or “from” amount. Signed-in members may request one free basic profile per day (a PDF compiled from the public summary on the company page, emailed to the registered address); that free tier does not create a payment obligation under these Terms;
- Advisory / agency services such as company setup, licences, visas, accounting and digital work, usually quoted before an amount is payable;
- Other catalogued service products that logged-in users can order on the Platform.
Free browsing of public company pages and ordinary inquiries that do not create a payable order do not create a payment obligation under these Terms.
2. Orders, pricing and amounts due
- You must be signed in to order. The order ID (for example starting with SO) is the reference for delivery and payment. Checkout and payment stay on laobiz.com; we do not send you to a third-party store.
- Catalog prices are fixed, from (starting price) or quote. Currency is USD. Checkout shows the service name, quantity (1), unit price and amount due. Displayed amounts exclude taxes that your jurisdiction may impose unless the order says otherwise.
- Fixed: prepay the listed amount after you place the order. Unpaid orders can be cancelled. Work starts after we receive payment.
- From: “from USD xx” is the minimum / deposit (to reduce no-shows). Pay that starting fee first. Support does not engage until it is received; you may cancel while unpaid. After payment we confirm scope, check whether the price should change, or follow up with you. A surcharge needs your acceptance before you pay the difference; if you decline you may request a refund of the deposit (processed manually). Extra verification, registry pulls, translation, rush work or official fees may exceed that floor and will be confirmed in writing first.
- Quote: no prepayment on submit. After we discuss the request we set a payable amount; you pay, then work starts. We are not obliged to start paid work until that amount is confirmed and paid.
- Current public starting prices for intelligence SKUs (subject to the product page and order snapshot) are about USD 9.9 for contact unlock and about USD 29.9 for an official company file (a pull of formal filings from competent authorities; lead time and statutory fees may be extra). A basic profile is a complimentary daily member copy and is a different tier from the official file.
3. How you pay
- Online payments are processed by Airwallex (or another licensed provider we publish). Card and similar data are collected by the provider. LaoBiz.com does not store full card numbers, CVV or payment passwords.
- A payment is successful only when our servers confirm it (webhook or PaymentIntent lookup), not merely because the browser redirected. Your dashboard may briefly show a verifying state.
- You may also pay by bank transfer, Wise or similar as instructed. Once we mark the order paid, the effect is the same as a successful online payment.
- Use a payment instrument you are authorised to use. We may pause work, recover reasonable costs and cooperate with the provider if a payment is stolen, reversed or treated as fraud.
4. Performance, delivery and disclaimers (Shipping & delivery)
We supply information and advisory work. There is no physical shipment. There is no shipping fee. Delivery is through order progress, attachments, your registered email or another agreed electronic channel. Electronic delivery is performance unless the order says otherwise.
- Paid engagement starts after the relevant amount is received. For fixed and starting-price orders, support confirms scope only after the prepayment clears. For quote orders, paid work starts after the quoted amount is paid. Unpaid orders can be cancelled.
- Contact unlock means we manually check public channels and make reasonable follow-up, then return usable phone / email / social contacts at that time. It is not an official certificate and does not guarantee that a number exists. If none can reasonably be found we will apply the failure tier stated on the order: refund in full or net of costs incurred, or agree an upgrade to another tier such as a company file.
- Basic profile: compiled from public-registry fields already shown on the company page and emailed as a PDF. It may differ from the latest official file and is not a substitute for competent-authority documents.
- Official file: advisors help obtain formal registration materials from authorities such as industry-and-commerce or tax. A fuller pull depends on counter hours, documents and official fees and may exceed the starting price.
- For licences, visas and similar filings we prepare materials and assist through lawful channels. Approvals are decided by the competent authority. We do not promise approval and do not replace licensed legal advice.
5. Refunds, cancellation and digital delivery (Refund policy)
We supply information and advisory work. There is no physical shipment. Delivery is through the user centre, email or another agreed electronic channel.
- If you submit false materials, an unlawful purpose, refuse verification, or the provider treats the payment as fraud, amounts paid may be non-refundable.
- If work has not actually started (no verification / pull time consumed and no official fees paid) and you cancel in writing within 24 hours of payment, you may request a full refund. If work has started, we settle reasonable costs incurred and refund the balance.
- After we discuss a prepaid “from” order, if the expected result or final price does not match both sides’ needs, you may request a refund or pay the balance and continue within the confirmed scope; reasonable costs already incurred are settled as above.
- If we cannot deliver the main scope of the order for reasons attributable to us, you may reschedule, change tier or receive a refund of the unperformed portion.
- Refunds go back to the original payment method. Timing depends on the issuer or provider. After a refund the order payment status is recorded as refunded.
- Official fees, third-party window charges and incurred travel disbursements are generally not refundable except where we are at fault.
6. Invoices and tax
Request an invoice or receipt in the order notes, including billing entity and tax details. Tax treatment follows the order and applicable law. Users outside Hong Kong remain responsible for their local filings.
7. Personal data
To collect payment and prevent fraud we and the payment provider process order IDs, amounts, contact details and transaction status returned by the provider. See the Privacy Policy.
8. Changes
These Terms are published on this page with an effective date. For orders already placed and paid, the version in force at checkout applies unless law requires otherwise or we agree in writing.
9. Governing law
These Terms, and orders and payments made through LaoBiz.com, are governed by the laws of the Hong Kong Special Administrative Region. Dispute resolution follows the Terms of Service: good-faith consultation first, then the courts of Hong Kong having jurisdiction. Mandatory consumer protections prevail where they apply.
